1. Service Description
DecisionOS is an AI-powered decision intelligence platform that helps engineering teams capture, classify, search, and analyze organizational decisions. The service ingests data from connected sources (Slack, GitHub, Jira, meeting transcription services), uses artificial intelligence to identify and classify decisions, and provides search, analytics, and governance tools.
2. Account Terms
- Authentication: DecisionOS uses Clerk for authentication. You are responsible for maintaining the security of your account credentials and for all activity under your account.
- Organization administrators: The organization administrator is responsible for managing member access, configuring integrations, setting data retention policies, and ensuring that appropriate consent has been obtained from team members whose communications may be processed.
- Age requirement: You must be at least 16 years of age to use DecisionOS.
- Accurate information: You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload or transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform, except as permitted by applicable open source licenses.
- Circumvent or attempt to circumvent any usage limits, rate limits, or access controls.
- Use automated means (bots, scrapers, crawlers) to access the service beyond the provided APIs.
- Interfere with or disrupt the integrity or performance of the service or its infrastructure.
- Share your account credentials or allow unauthorized access to your organization's data.
- Use the service to store or process data subject to heightened regulatory requirements (e.g., HIPAA, PCI-DSS) without a separate written agreement.
4. AI-Generated Content Disclaimer
DecisionOS uses artificial intelligence (powered by Anthropic Claude) to classify decisions, score confidence levels, detect patterns, and generate analytics. You acknowledge and agree that:
- AI-generated classifications, confidence scores, health assessments, and analytics may be inaccurate or incomplete.
- AI confidence scores are provided to help you assess reliability. Items below your configured confidence threshold are automatically routed for human review.
- DecisionOS provides decision intelligence tools and is not a substitute for professional legal, medical, financial, or business advice.
- You are responsible for reviewing AI-generated content and exercising independent judgment before relying on it for important decisions.
- DecisionOS is not liable for any losses arising from reliance on AI-generated classifications or analytics.
5. Data Ownership
- Your data: You retain full ownership of all data you submit to DecisionOS, including decisions, comments, transcripts, and integration data (“Customer Data”). We claim no ownership rights over Customer Data.
- License to process: You grant DecisionOS a limited, non-exclusive license to process Customer Data solely for the purpose of providing and improving the service. This license terminates when you delete your data or close your account.
- No training: We do not use Customer Data to train, fine-tune, or improve any machine learning or AI models. Our AI sub-processors (Anthropic, OpenAI, Cohere) are contractually prohibited from using data sent via their APIs for model training.
6. Intellectual Property
- Platform ownership: DecisionOS and its underlying technology, including the software, algorithms, user interface, documentation, and trademarks, are owned by DecisionOS and protected by intellectual property laws.
- Customer content: You retain all intellectual property rights in your Customer Data.
- Feedback: If you provide feedback or suggestions about the service, we may use them without obligation to you.
7. Billing and Subscription
- Plans: DecisionOS offers Free, Team ($12/user/month), Business ($29/user/month), and Enterprise (custom pricing) plans. Features and usage limits vary by plan.
- Billing cycle: Paid plans are billed monthly or annually in advance. Annual plans receive a discount as shown on our pricing page.
- Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
- Cancellation: You may cancel your subscription at any time from the billing settings page. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends.
- Refunds: Monthly subscriptions are non-refundable. Annual subscriptions are eligible for a pro-rata refund for unused full months remaining in the annual term, provided the refund request is made within 30 days of the most recent charge.
- Price changes: We will provide at least 30 days' notice before any price increase. Price changes take effect at the start of the next billing period after the notice.
8. Service Availability
We target 99.9% uptime for the DecisionOS cloud service, measured on a monthly basis. This is a best-effort target and not a contractual guarantee. Planned maintenance windows will be communicated at least 24 hours in advance. Formal Service Level Agreements (SLAs) with financial remedies are available on the Enterprise plan.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- DecisionOS's total aggregate liability for any claims arising out of or relating to these terms or the service shall not exceed the total fees paid by you to DecisionOS in the twelve (12) months preceding the event giving rise to the claim.
- In no event shall DecisionOS be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability.
- These limitations apply even if DecisionOS has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
10. Indemnification
- By you: You agree to indemnify and hold DecisionOS harmless from any claims, losses, or damages (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your violation of any third-party rights.
- By DecisionOS: DecisionOS agrees to indemnify and hold you harmless from any claims, losses, or damages (including reasonable legal fees) arising from DecisionOS's infringement of any third-party intellectual property rights in connection with your authorized use of the service.
11. Termination
- By you: You may terminate your account at any time by cancelling your subscription and deleting your organization from the settings page, or by contacting support.
- By DecisionOS: We may terminate or suspend your access with 30 days' written notice. We may terminate immediately and without notice if you materially breach these terms, including violations of the acceptable use policy.
- Effect of termination: Upon termination, your right to use the service ceases immediately. Your data will be retained for 30 days to allow export, after which it will be permanently deleted in accordance with our Privacy Policy.
- Survival: Sections on limitation of liability, indemnification, intellectual property, and governing law survive termination of these terms.
12. Open Source
The self-hosted version of DecisionOS is released under the GNU Affero General Public License v3.0 (AGPLv3). The AGPLv3 license governs your use of the self-hosted software, including the requirement to disclose source code of modifications when providing the software as a network service.
The DecisionOS cloud service (hosted at decisionos.dev) is provided under these Terms of Service, which constitute a separate commercial agreement. Cloud-specific features, support, and infrastructure are not covered by the AGPLv3 license.
13. Governing Law and Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these terms or the service shall be resolved in the state or federal courts located in Delaware. For EU-based customers, nothing in these terms affects your right to rely on any mandatory provisions of the law of your country of residence.
14. Changes to These Terms
We may update these Terms of Service from time to time. For material changes, we will provide at least 30 days' advance notice via email before the changes take effect. Your continued use of DecisionOS after the effective date of the revised terms constitutes acceptance of those terms.
